Terms of Service

Welcome to Gibwork. These Terms of Service ("Terms") govern your access to and use of the Gibwork platform, accessible at app.gib.work, including all associated services, features, content, and applications (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.

Gibwork is an onchain freelance marketplace. The Platform connects clients who post tasks and bounties with workers who complete them in exchange for stablecoin payments.

The Platform supports task-based and bounty-based work models. Payments are made in Stablecoins (USDC, USDT, etc.). Gibwork facilitates escrow based payments on the blockchain to help ensure secure transactions between clients and workers.

Gibwork is a marketplace platform and is not a party to any agreement between clients and workers. We do not guarantee the quality, completion, or legality of any task or bounty posted on the Platform.

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and are not prohibited from using the Platform under any applicable laws.

You must not access or use the Platform if you are located in, or a citizen or resident of, any jurisdiction subject to comprehensive sanctions or where the use of blockchain-based services is prohibited by law.

To use certain features of the Platform, you must create an account. Account registration is handled through our authentication provider (Clerk) using email-based one-time password (OTP) verification.

You are solely responsible for maintaining the security of your account credentials and wallet access. You agree to notify us immediately of any unauthorized access to your account. Gibwork is not liable for any loss or damage arising from your failure to protect your account or wallet.

You agree to provide accurate and complete information during registration and to keep your account information up to date. Each individual may maintain only one account on the Platform.

The Platform allows you to create, submit, and share content including task descriptions, bounty details, work submissions, comments, profile information, and other materials (collectively, "User Content"). You retain ownership of your User Content, but by posting it on the Platform, you grant Gibwork a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, and distribute your User Content in connection with operating and promoting the Platform.

You represent and warrant that your User Content does not violate any third-party rights and complies with all applicable laws.

Tasks: Clients post tasks with a defined scope and payment amount. Workers submit their work for review, and clients approve or reject submissions. Upon approval, payment is released from the onchain escrow to the worker.

Bounties: Bounties are linked to GitHub issues. Any eligible user may claim a bounty by submitting a qualifying pull request or contribution. Once the bounty poster approves the submission, payment is released from escrow.

Scam Tasks: Users should exercise caution and due diligence when engaging with tasks and bounties. If a task or bounty appears fraudulent, misleading, or too good to be true, do not engage with it and report it to the Gibwork team.

All task and bounty payments on Gibwork are processed onchain through Solana escrow program. When a client creates a task or bounty, the payment amount is deposited into escrow. Upon approval of a submission, the escrowed funds are released to the worker.

Gibwork charges a platform fee on transactions. Subscription tiers (such as Gibwork Plus) may offer reduced fees. All fees are deducted automatically at the time of escrow release.

Due to the nature of blockchain transactions, all payments released from escrow are final and irreversible. Once a client approves a submission and the escrowed funds are released to the worker, the transaction cannot be reversed, refunded, or charged back.

Clients are responsible for thoroughly reviewing all submissions before approving them. Gibwork strongly recommends verifying the quality and completeness of work before releasing payment.

The Platform may contain links to third-party websites, services, or resources, including but not limited to GitHub repositories, external documentation, and blockchain explorers. These links are provided for convenience only.

Gibwork does not control, endorse, or assume responsibility for any third-party content, services, or practices. Your use of third-party services is at your own risk and subject to their respective terms and policies.

Gibwork may allow or integrate with AI agents, bots, or automated tools that interact with the Platform. Use of such tools must comply with these Terms and all applicable laws.

Automated access to the Platform, including through APIs, scripts, or bots, is permitted only as expressly authorized by Gibwork. Excessive or abusive automated access may result in rate limiting, suspension, or termination of your account.

You are fully responsible for any actions taken on the Platform by AI agents or automated tools operating on your behalf, including any tasks submitted, bounties claimed, or payments made.

You agree not to:

• Post fraudulent, misleading, or scam tasks or bounties
• Create or operate multiple accounts (sybil accounts) to manipulate the Platform
• Exploit, manipulate, or abuse the escrow system or platform mechanics
• Submit plagiarized, AI-generated (without disclosure), or low-effort work to claim payments
• Harass, threaten, or abuse other users of the Platform
• Use the Platform for money laundering, sanctions evasion, or any illegal activity
• Attempt to reverse-engineer, decompile, or disassemble any part of the Platform
• Interfere with or disrupt the operation of the Platform or its infrastructure
• Circumvent any access controls, rate limits, or security measures
• Scrape or harvest data from the Platform without express authorization

Violation of these prohibitions may result in immediate suspension or termination of your account and forfeiture of any escrowed funds.

Gibwork acts as a facilitator, not an arbiter. We are not responsible for resolving disputes between clients and workers regarding the quality, scope, or completion of work.

In the event of a dispute, users are encouraged to communicate directly with each other to reach a resolution. Gibwork may, at its sole discretion, provide limited dispute facilitation, but is under no obligation to do so and will not be liable for the outcome of any dispute.

Users acknowledge that once a payment has been released from escrow, Gibwork has no ability to reverse or modify the transaction.

Gibwork offers optional paid subscription plans, including Gibwork Plus, which provides benefits such as reduced platform fees, verified status, and additional features. Subscription pricing is as displayed on the Platform at the time of purchase (e.g., $4.99/month or $39.99/year).

Subscription payments are processed through Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel.

You may cancel your subscription at any time from your account settings. Cancellation will take effect at the end of your current billing period. No partial refunds are provided for unused portions of a billing period.

The Gibwork name, logo, brand elements, platform design, and all associated intellectual property are owned by Gibwork and its licensors. You may not use, reproduce, or distribute any Gibwork trademarks or copyrighted materials without prior written permission.

Work product created by workers in the course of completing tasks or bounties is subject to any agreements between the client and worker. Gibwork does not claim ownership over work product unless expressly stated otherwise.

To the maximum extent permitted by applicable law, Gibwork and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Platform.

Without limiting the foregoing, Gibwork is not liable for any losses arising from blockchain network failures, smart contract vulnerabilities, wallet compromises, token value fluctuations, or any other risks inherent to decentralized technologies.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Gibwork does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content on the Platform.

You agree to indemnify, defend, and hold harmless Gibwork and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your User Content; (d) your interaction with other users; or (e) your violation of any applicable law or third-party rights.

Your use of the Platform is also governed by our Privacy Policy, available at /privacy. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Account authentication data is processed by our third-party authentication provider (Clerk) in accordance with their privacy policy. Subscription payment data is processed by Stripe.

Please note that blockchain transactions are publicly visible by nature. Your wallet address and transaction history on the Solana blockchain are publicly accessible and cannot be made private by Gibwork.

Gibwork reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or conduct that is harmful to other users or the Platform.

You may delete your account at any time through your account settings. Upon termination, your right to use the Platform ceases immediately. Any escrowed funds associated with active tasks or bounties will be handled in accordance with the Platform's escrow procedures.

Sections of these Terms that by their nature should survive termination (including but not limited to Limitation of Liability, Indemnification, and Governing Law) shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in class action lawsuits.

Notwithstanding the foregoing, Gibwork may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of its intellectual property rights.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Gibwork regarding the use of the Platform and supersede all prior agreements.

Waiver: The failure of Gibwork to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without Gibwork's prior written consent. Gibwork may assign its rights and obligations without restriction.

Force Majeure: Gibwork shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, blockchain network disruptions, or government actions.
